Sean Trice brings more than 25 years of experience as a legal counsel, corporate executive and entrepreneur to his role as senior counsel at Whiteford Taylor Preston LLP. His practice centers on corporate transactional work, and he frequently serves as outside general counsel to small and middle-market companies and tax-exempt organizations.

Trice advises entrepreneurs, executive leadership and corporate boards on a broad range of business matters, including corporate structuring, contract drafting and negotiation, capital raising, private equity, government contracts, succession planning, buy- and sell-side mergers and acquisitions, and cross-border transactions. He has also served as legal counsel on a number of organizations’ complex economic development projects.

His practice includes extensive practical and legal experience in the federal government contracts sector. Trice advises clients on government contract compliance, prime and subcontract agreements, teaming agreements, independent contractor agreements and settlement agreements, and more generally the unique dynamics of doing business with the federal government.

Internationally, Trice represents multinational businesses and entrepreneurs across the African diaspora in cross-border transactions, with particular experience in Ghana, West Africa. He recently launched a private investment fund to invest in, scale and empower local businesses across sub-Saharan Africa, with the goal of helping to advance nation-building initiatives — an effort that draws on seven years of doing business in Ghana.

Trice’s path to the law was somewhat nontraditional. While serving as a corporate executive, he attended law school at night as a husband and father of active boys, sustained throughout by his faith and the support of his wife and children. He credits his clarity of priorities — keeping family first — as the foundation that allowed him to prioritize and communicate, which in turn helped him overcome the challenge. He has said that becoming a lawyer was the path that proved to be the best way for him to combine all of his interests and serve his community.

Looking ahead, he hopes to continue to innovate ways and platforms to bring sophisticated and comprehensive legal services to the small and middle-market business community, and to encourage entrepreneurs to pursue growth strategies such as mergers and acquisitions and international market expansion.

Outside the office, Trice takes every opportunity to speak with those considering the profession, often sharing his own story in hopes of inspiring others. He also works to show that the law opens doors to many professional paths and fields of interest, and believes it can have a transformational impact on people’s lives.
